Licensing Definitions and Guidelines Supplement


Introduction and Scope

This Licensing Definitions and Guidelines Supplement (“Supplement”) is a supplement to the applicable end user agreement or agreements you agreed to when licensing or subscribing to certain Webroot services (individually, an “Agreement” and collectively, the “Agreements”).  The Agreements, and the list of applicable services they cover, are available here: https://www.webroot.com/us/en/legal/service-terms-and-conditions.  The defined terms in the Agreements are hereby incorporated into this Supplement by this reference.

This Supplement is intended to aid end users in using and deploying, and channel partners in marketing, offering, and selling, the services that are the subject of the applicable Agreement.  These services include:

  • WSAB” means Webroot Business Endpoint Protection
  • DNSP” means Webroot Business DNS Protection
  • WSAT” means Webroot Security Awareness Training

By entering into an Agreement, you agree to use, deploy and pay for the applicable Webroot services subject to this Supplement. If you are a channel partner, and enter into a distribution or reseller agreement that references this Supplement, you agree to market, offer, and sell the applicable services subject to this Supplement and to enforce these terms against any downstream resellers or any end users, as permitted by Webroot pursuant to any agreement you may have with Webroot.
 

Definitions

General Terms:

 

Term Definition
Endpoint Any single supported desktop, server, or mobile device. One Endpoint license is required for each desktop, server, or mobile device, whether physical or virtual.
Global Site Manager (GSM) Webroot’s Global Site Manager console.
Beneficiary or Site A beneficiary or a site means a third party organization that receives Managed Services, as defined in the applicable Agreements. A Beneficiary or Site in turn has one or more Endpoints associated with it.


 

Terms Applicable to WSAB—Annual Subscription with Excess Usage:

 

Term Definition
WSAB Contracted Seats The number of Endpoints that an end user is licensed to use or deploy or that a channel partner is licensed to distribute for the specified subscription term.
WSAB Monthly Excess Usage Fee The fee, calculated on a per-month, per-Endpoint basis, owed to Webroot for each Endpoint used, deployed or distributed in excess of the WSAB Contracted Seats.
Quantity For an Annual Subscription with Excess Usage contract, Quantity refers to the number of WSAB Contracted Seats.


An Annual Subscription with Excess Usage contract requires that an end user pay for an annual, non-cancellable subscription for the number of Contracted Seats.
 

Terms Applicable to WSAB—Monthly Usage Subscription:

 

Term Definition
WSAB Monthly Usage Fee The fee, calculated on a per-month basis, owed to Webroot for each Endpoint that an end user actually uses or deploys or that a channel partner actually distributes.
Quantity For a Monthly Usage Subscription contract, Quantity is not applicable.


Webroot will invoice on a month-to-month basis for a Monthly Usage Subscription contract.

Subscription Cancellation: An end user may cancel their Monthly Usage Subscription contract by providing Webroot with 30 days’ notice in accordance with this Supplement, in which case Webroot will stop invoicing and providing the service at the end of the next billing cycle. By way of example, if a monthly subscription begins on January 10th, and notice of cancellation is provided on February 16th, the service will be provided through April 9th, and Webroot’s final invoice will cover usage from March 10th to April 9th. Webroot will not issue pro-rated refunds for cancellations. In order for notice of cancellation to be effective, notice must be provided: (i) by submitting a support ticket via webroot.com/CancelSubscription or (ii) via telephone call to support at 1-866-612-4268. For prompt response please mention “cancel subscription billing” in your request.

Switching Subscription: An end user may switch from a Monthly Usage Subscription contract to an Annual Subscription with Excess Usage contract by executing an Annual Subscription with Excess Usage contract. Webroot will begin invoicing in accordance with the terms of the new contract.
 

Terms Applicable to DNSP:

 

Term Definition
DNSP Contracted Seats The number of seats that an end user is licensed to use or deploy (measured by number of Endpoints), including to a Site, or that a channel partner is licensed to distribute, each for the specified subscription term.  DNSP Contracted Seats are not necessarily individual users.
DNSP Monthly Excess Usage Fee The fee, calculated on a per-month, per-Endpoint basis, owed to Webroot for each Endpoint used, deployed or distributed in excess of the DNSP Contracted Seats. 
Quantity For a DNSP contract, Quantity refers to the number of DNSP Contracted Seats.


For purposes of DNSP, “Endpoints” are measured as follows: (a) Webroot will validate if the DNSP agent software is installed, and if it is, Webroot will identify whether that agent was (i) activated in Webroot’s system and not deactivated as of the last day of the prior billing period or (ii) activated in Webroot’s system during the then-current billing period (with each active agent being an “Endpoint”); and (b) if the DNSP agent software is not installed, Webroot will identify all DNS requests or queries via external IP address (each, a “Request”) from any End User and divide such Requests by 30 to get the 30 day average for number of Requests. The 30 day average is further divided by the average number of Requests per day per End User (as measured and defined by Webroot), with the resulting number constituting the number of DNSP Endpoints for such End User. If the calculation in (b) above results in a fractional number, Webroot will round up in calculating the number of DNSP Endpoints for the applicable End User.
 

Terms Applicable to WSAT:

 

Term Definition
WSAT Seat or WSAT User A unique email address uploaded to WSAT.
WSAT Contracted Seats The number of WSAT Seats that an end user is licensed to use or deploy, including to a Site (if applicable), or that a channel partner is licensed to distribute, each for the specified subscription term. 
WSAT Monthly Excess Usage Fee The fee, calculated every month, owed to Webroot for each WSAT User created in excess of the WSAT Contracted Seats. The calculation includes WSAT Users created anytime during the subscription term.
Quantity For a WSAT contract, Quantity refers to the number of WSAT Contracted Seats.
